Penitential deposit contract (arras)

This template is designed for contracts governed by Spanish law.

Parties

On the one hand, [Seller (full name)], ID/NIE [Seller's ID / NIE], residing at [Seller's address] (the SELLER).

On the other hand, [Buyer (full name)], ID/NIE [Buyer's ID / NIE], residing at [Buyer's address] (the BUYER).

Both parties act on their own behalf, acknowledge their capacity to contract and

Recitals

I. That the SELLER owns the following property: [Property (address and description)], cadastral reference [Cadastral reference], registered at the Land Registry under [Land Registry details]. Charges: [Charges and how they are cleared].

II. That both parties wish to proceed with the sale of the property and formalise it by means of this deposit contract, under the following

Clauses

. Subject matter and price

The SELLER undertakes to sell and the BUYER to buy the property described, as a specific whole, with its rights and appurtenances, for a total price of [Total price].

. Penitential deposit

The BUYER hereby pays the SELLER the sum of [Deposit amount] by [How the deposit is paid], as a penitential deposit under article 1454 of the Spanish Civil Code. This document serves as a receipt for that sum, which will be deducted from the price when the deed is signed.

Accordingly, either party may withdraw from the contract before the deed is executed: if the BUYER withdraws, they forfeit the deposit paid; if the SELLER withdraws, they must return it doubled. Once withdrawal is exercised with these consequences, both parties' obligations under this contract are extinguished.

. Penitential deposit

The BUYER hereby pays the SELLER the sum of [Deposit amount] by [How the deposit is paid]. The parties expressly agree that it is a penitential deposit under article 621-8.2 of the Catalan Civil Code. This document serves as a receipt for that sum, which will be deducted from the price when the deed is signed.

Accordingly, if the BUYER withdraws before the deed, they forfeit the deposit unless the withdrawal is justified under article 621-49 of the Catalan Civil Code; if the SELLER withdraws, they must return it doubled.

Withdrawal must be notified to the other party in writing, by a means that provides proof of receipt (registered letter or similar), before the deadline for the deed.

. Public deed and payment of the balance

The public deed of sale will be executed no later than [Deadline for the deed], before the notary chosen by the parties ([Notary (if known)]). At that time the BUYER will pay the balance of the price and the SELLER will hand over possession of the property and its keys.

If, by that date, one party fails to attend the signing despite having been requested in writing, the other may treat it as having withdrawn, with the consequences provided for the deposit. Any extension of the deadline must be agreed in writing.

. Condition of the property

The property will be transferred free of charges and encumbrances except as stated in recital I, free of tenants and occupants, and with property tax (IBI), community fees and utilities paid up to the date of the deed.

. Mortgage condition

The sale is conditional on the BUYER obtaining a loan of at least [Loan required] by [Mortgage deadline]. If, having applied in good faith, the loan is refused and the BUYER proves this in writing before that date, the contract will be void and the SELLER will return the deposit without penalty within ten days.

. Costs and taxes

The costs of executing the deed will be borne by the SELLER, and those of the first copy and all costs after the sale by the BUYER (article 1455 of the Spanish Civil Code). Each tax will be paid by whoever its legislation determines.

The costs of the sale will be split as follows: [Agreed split of costs]. Each tax will be paid by whoever its legislation determines.

. Brokerage

The transaction was arranged through [Agency]. Its fees are governed by the agreement it signed with whoever instructed it and do not change the price agreed in this contract.

. Data protection

Each party will process the other's personal data only to perform this contract and complete the sale (article 6.1(b) of Regulation (EU) 2016/679, GDPR), and may disclose it to the notary, the Land Registry, the lender and the authorities involved. Data will be kept for the statutory periods, and each person may exercise their rights of access, rectification, erasure, objection, restriction and portability against the other party and complain to the Spanish Data Protection Agency (www.aepd.es).

. Governing law

This contract is governed by the Spanish civil law applicable where the property is located. Any dispute will be submitted to the courts that have jurisdiction under the law.

In witness whereof, the parties sign this contract in duplicate at the place and on the date stated.

Confirmatory, penitential and penalty arras: which to sign and what it means

What a deposit contract is

A deposit contract (contrato de arras) is the document buyer and seller sign once they have agreed on the property and the price but cannot yet go to the notary: the mortgage is pending, a charge must be cleared or paperwork gathered. The buyer pays an amount on account (the deposit) and both parties set a deadline to sign the deed. Note: under the Spanish Civil Code a sale is complete when buyer and seller agree on the thing and the price, even if neither has been delivered (article 1450 of the Civil Code). That is why a deposit contract is not just a letter of intent: what you write in it binds you.

A deposit contract is usually signed as a private document. The sale is then executed as a public deed, because the Civil Code requires acts that transfer rights in rem over real estate to be recorded in a public document (article 1280.1), and once there is agreement each party can require the other to complete that formality (article 1279).

The three types of arras

The Civil Code only expressly regulates one function of arras, in article 1454: «If arras or a deposit have been given in the contract of sale, the contract may be rescinded by the buyer agreeing to forfeit them, or the seller to return them doubled». This is known as penitential arras: either party can walk away by paying that price. The other two types have no article of their own in the Civil Code; they derive from freedom of contract (article 1255) and the general rules on obligations.

  • Confirmatory: a sign that the contract is closed and a payment on account of the price. They give no right to back out. If one party defaults, the other can demand performance or termination, with damages in either case (article 1124).
  • Penitential: they allow withdrawal. A buyer who walks away forfeits what was paid; a seller who walks away returns double (article 1454). This is the template on this page.
  • Penalty: they work as a penalty clause for breach. The penalty replaces damages unless otherwise agreed (article 1152), but does not allow a party to escape the contract by paying it unless that right was expressly reserved, and the injured party cannot demand both performance and the penalty unless clearly granted that right (article 1153).

How to make clear they are penitential

The title of the document is not enough. For arras to work as penitential, the contract should state expressly and unambiguously that they are given as penitential arras under article 1454 and describe the consequences: the buyer forfeits them on withdrawal and the seller returns them doubled. If the wording is ambiguous or mixes concepts (for example, calling the arras «penitential» while also allowing performance to be enforced), a party wishing to withdraw risks them being interpreted differently. The template above cites the article and explains the consequences in the same clause.

In Catalonia, the rules are different

If the property is in Catalonia, article 621-8 of the Catalan Civil Code applies, and it says three important things. First: money paid by the buyer to the seller is deemed to be confirmatory arras, as a sign of completion and on account of the price. Second: penitential arras must be expressly agreed; if the buyer withdraws they forfeit them, unless the withdrawal is justified under article 621-49, and if the seller withdraws they must return them doubled. Third: in sales of real estate, penitential arras agreed for a maximum of six months and deposited with a notary can be recorded at the Land Registry, and the property is then charged with their return. The template on this page changes the clause when you choose Catalonia.

What happens if the buyer or seller backs out

With penitential arras, if the buyer withdraws they lose what they paid and the seller keeps it. If the seller withdraws, they return the deposit doubled: what was received plus the same amount again. If you paid €20,000, you get €40,000 back. With that, the contract ends for both. Always give notice of withdrawal in writing, by a means that leaves a record, before the deadline for the deed.

A buyer failing to obtain a mortgage does not, by itself, save them from losing the deposit. If the purchase depends on financing, agree an express condition with amount and date, like the one you can turn on in the template, and keep any refusals in writing.

Deadlines, amount and costs

The Civil Code sets no maximum period between the deposit contract and the deed, nor any percentage for the deposit: the parties decide. Set a specific date, allow for the time the bank really needs and agree any extension in writing. As for costs, unless otherwise agreed, the costs of executing the deed are borne by the seller and those of the first copy and after the sale by the buyer (article 1455). Taxes are paid by whoever their legislation determines; ask your adviser or the notary which ones apply to your transaction.

Before signing: checklist

  • Recent Land Registry extract: owner, charges, attachments and restrictions.
  • That all owners sign, or someone with sufficient power of attorney, with their marital status in order.
  • Latest property tax (IBI) and community fee receipts, and whether special levies have been approved.
  • Whether there are tenants or occupants and when the property will be vacant.
  • Pay the deposit by identified bank transfer, never in cash without a receipt.
  • If an agency is involved, check the listing agreement is signed and that it is clear who holds the deposit until the deed. In Catalonia, agents must hold a guarantee covering the amounts they receive (article 55.3.c of Act 18/2007).

When to consult a lawyer or the notary

This template is for a straightforward sale between private individuals. Consult a lawyer, or the notary who will execute the deed, before signing the deposit contract if the property comes from an estate not yet accepted, there are several owners or minors, it has charges not cleared from the price, it is let or occupied, it is subsidised housing, the seller is a company or developer, or the deal depends on selling another home first. And whenever you do not understand a clause.

FAQ

Questions about deposit contracts

What is a deposit (arras) contract?

It is the contract buyer and seller sign before the deed: the buyer pays an amount on account of the price and both parties set the terms and deadline for signing the sale before a notary.

What is the difference between confirmatory, penitential and penalty arras?

Confirmatory arras are a payment on account and do not allow backing out; penitential arras allow withdrawal by forfeiting them (buyer) or returning them doubled (seller), under article 1454 of the Civil Code; penalty arras work as a penalty for breach (articles 1152 and 1153).

What happens if the buyer backs out?

With penitential arras, they forfeit the amount paid and the contract ends. With confirmatory arras, the seller can enforce the contract or terminate it with damages.

And if the seller backs out?

With penitential arras, they return the deposit doubled: what they received plus the same again. In Catalonia, article 621-8.2 of the Catalan Civil Code likewise says it must be returned doubled.

How much is paid as a deposit?

There is no percentage set by law: the parties agree it. Bear in mind that, with penitential arras, it is the amount the buyer would lose on withdrawal and half of what the seller would pay.

What happens to the deposit if my mortgage is refused?

It depends on what was signed. Without an express mortgage condition, a refusal does not by itself prevent losing the deposit. That is why it is wise to agree a condition with amount and date, like the one in the template on this page.

Is a notary needed to sign a deposit contract?

It is usually signed as a private document. The sale itself is then executed as a public deed before a notary. In Catalonia, penitential arras deposited with a notary for up to six months can be recorded at the Land Registry (article 621-8.3 of the Catalan Civil Code).
