Real estate listing agreement

This template is designed for agreements governed by Spanish law.

In [Place of signature], on [Date].

Parties

On the one hand, [Owner (full name)], holder of ID/NIE [Owner's ID / NIE], residing at [Owner's address], acting on their own behalf or as the duly authorised representative of the owner (the OWNER).

On the other hand, [Agency (company name)], tax ID [Agency tax ID (NIF)], with registered address at [Agency address], represented by [Signing agent], estate agent register number [Agent register no. (if any)] (the AGENCY).

Both parties acknowledge their capacity to sign this agreement and agree to the following clauses.

. Purpose

The OWNER instructs the AGENCY to market the property located at [Property address], cadastral reference [Cadastral reference], Land Registry details [Land Registry details], and to act as intermediary for its sale. The AGENCY will look for prospects, show the property, pass on every offer it receives to the OWNER and assist the OWNER until the relevant contract is signed.

. Asking price

The asking price is [Asking price]. The OWNER may change it by written notice. The AGENCY will not commit to any other price or terms without the OWNER's express authorisation.

. Status of the property

The OWNER declares, under their own responsibility, that the property is subject to the following charges, encumbrances, leases or occupants: [Charges, tenants or occupants]; that they are not aware of any court proceedings affecting it other than those stated; and that they will give the AGENCY the documents needed to market it (Land Registry extract, energy performance certificate and latest property tax and community fee receipts, among others). Before signing any document with third parties, the AGENCY will check ownership and charges at the Land Registry.

. Exclusivity

This is an exclusive agreement. While it is in force, the OWNER will not instruct any other agency for the same transaction and will refer to the AGENCY any prospect who contacts the OWNER directly.

If, while exclusivity is in force, the OWNER completes the transaction on their own or through another agency, the OWNER will pay the AGENCY the fees agreed in this document, as consideration for the exclusivity. The parties declare that they have negotiated this clause and that the AGENCY explained its scope before signing.

. Open (non-exclusive) listing

This is a non-exclusive agreement. The OWNER may instruct other agencies for the same transaction or complete it on their own. Fees are only due to the AGENCY if the transaction is completed with a prospect introduced by the AGENCY.

. Fees

The AGENCY's fees are: [Fees]. They become due when the contract that completes the transaction is signed with a prospect introduced by the AGENCY, and will be paid [When they are paid]. The AGENCY will not charge the other party for this same brokerage without informing the OWNER and obtaining the OWNER's express agreement.

If the property is let as a dwelling, property management and contract formalisation costs cannot be passed on to the tenant (article 20.2 of Spanish Urban Leases Act 29/1994), so they are borne by the OWNER.

. Term

This agreement runs for [Term of the agreement] from the date of signature.

On expiry, it will renew for equal periods unless either party gives the other written notice of non-renewal at least [Notice to stop renewal] in advance.

On expiry, the agreement will end without the need for notice. The parties may renew it in writing.

If, within [Tail period after expiry] after the agreement ends, the OWNER completes the transaction with a prospect the AGENCY introduced while it was in force, as evidenced by a viewing form or written communication, the agreed fees will be due.

. Agency obligations

The AGENCY undertakes to: market the property with truthful advertising and only in the channels the OWNER authorises; report every offer and the progress of the instruction; keep the keys against receipt; issue a receipt for any amount received from prospects and hand it over or apply it as agreed; keep information confidential; and act diligently and loyally towards the OWNER.

. Owner obligations

The OWNER undertakes to: provide truthful and complete information about the property; allow viewings at reasonable times; notify the AGENCY of any change in price or in the property's situation and, where applicable, of its sale or letting; and pay the fees on the agreed terms.

. Data protection

Each party processes the other's personal data to manage this agreement, on the basis of its performance (article 6.1(b) of Regulation (EU) 2016/679, GDPR), and keeps it for the duration of the relationship and then for the statutory limitation periods. The AGENCY will only disclose the data strictly needed to prospects, notaries and entities involved in the transaction. Rights of access, rectification, erasure, objection, restriction and portability can be exercised by writing to [Data protection email], and a complaint can be lodged with the Spanish Data Protection Agency (www.aepd.es).

. Right of withdrawal

This agreement is signed off the AGENCY's business premises with an OWNER acting as a consumer. The OWNER may withdraw within fourteen calendar days of signature, without giving any reason and at no cost, by notifying [Agency (company name)] at [Agency address] or at [Data protection email] by an unequivocal statement or using the attached model form (articles 102, 104 and 106 of the Spanish consolidated General Consumer Protection Act, Royal Legislative Decree 1/2007).

Request for the service to start immediately during the withdrawal period: No. If the OWNER makes this request and then withdraws, the OWNER will pay the AGENCY an amount proportionate to the part of the service already provided (articles 99.3 and 108.4 of the same Act).

. Governing law

This agreement is governed by Spanish law and, where applicable, by the regional legislation of the place where the property is located. Any dispute will be submitted to the courts that have jurisdiction under the law.

In witness whereof, the parties sign this document in duplicate.

The OWNER: [Owner (full name)]
The AGENCY: [Signing agent]

Annex. Model withdrawal form

(Complete and return this form only if you wish to withdraw from the contract.)

Practical guide

What a listing agreement is and how to draft it properly

What a listing agreement is

A listing agreement (known in Spain as a nota de encargo or hoja de encargo) is the document in which a property owner instructs an agency to find a buyer or tenant. It sets the rules: asking price, fees and when they are due, term, whether it is exclusive and what each party does. Everything the agency does afterwards (advertising the flat, showing it, receiving offers, preparing the deposit contract) rests on that document.

There is no official national template. The content is up to the parties, within the limit set by article 1255 of the Spanish Civil Code: they may agree whatever they see fit provided it is not contrary to law, morality or public order. When the owner is a private individual selling or letting their home, consumer law also applies: a clause that was not individually negotiated and that, contrary to good faith, causes a significant imbalance to the owner's detriment can be declared unfair (article 82 of the consolidated General Consumer Protection Act).

In Catalonia, however, the listing agreement is mandatory. The Catalan Housing Act 18/2007 requires estate agents to sign it with the owner before offering a home (article 55.5.b) and prohibits advertising third-party properties without it (articles 55.6 and 58.5).

What it should include

Catalan law lists the minimum content (article 55.6 of Act 18/2007). Outside Catalonia it is not mandatory, but it is the best checklist available for any listing agreement:

  • Identity of the agent and their estate agent register number.
  • Identity of the owners and, where applicable, their representative.
  • Term of the agreement and description of the transaction.
  • Identification of the property with its Land Registry details, charges and encumbrances of any kind, and its protection scheme if it is subsidised housing.
  • Asking price.
  • Relevant legal issues the owner must disclose, especially pending court proceedings related to the property.
  • Agent's fee (percentage of the price or fixed amount) and payment terms.
  • Rights and obligations of the parties and powers granted to the agent.

Fees: drafting them without surprises

Write the fees so that nobody can read them two ways: percentage or fixed amount, whether VAT is included or added, which price they are calculated on (asking or final) and when they are due (on signing the deposit contract, the deed of sale or the lease). If the owner must pay even when someone else closes the deal, say so expressly and explain it before signing.

Two legal limits to bear in mind. In residential lettings, property management and contract formalisation costs cannot be passed on to the tenant, directly or indirectly (article 20.2 of the Urban Leases Act). And in Catalonia an agent cannot charge both parties for the same transaction unless expressly agreed (article 55.6.i of Act 18/2007).

Term, renewal and deals closed afterwards

The law sets no term: the parties agree it. What matters is that it is specific (six months, not "until sold") and that, if it renews automatically, the owner can stop it with reasonable notice. Avoid exclusives that renew themselves with no clear way out.

Many agencies add a tail period: if, after the agreement ends, the owner closes the deal with someone the agency introduced, the fees are due. For that clause to be worth anything, the agency must be able to prove who introduced whom. That is what the viewing form is for.

Clauses best avoided

Whether a clause is unfair is decided by a judge case by case, looking at the service and all the circumstances at signature (article 82.3 of the consolidated Act). There is no closed list for listing agreements, but the law does identify clauses that are always unfair: those that make the contract depend on the business's will, limit consumer rights, create a lack of reciprocity or are disproportionate (article 82.4). With that in mind, look closely at:

  • Penalties for terminating the agreement far higher than the fees that would have been earned.
  • Fees due even if the transaction is never signed for reasons beyond the owner's control.
  • Automatic renewals with no reasonable notice or no clear way to end the agreement.
  • Any waiver by the consumer of the right of withdrawal, or penalty for exercising it: these are null and void (article 102.2).

Withdrawal if you sign off-premises

Many listing agreements are signed at the owner's home, on the day the agent visits to take on the property. If the owner acts as a consumer (an individual acting for purposes outside their trade or profession, article 3) and the contract is signed off the agency's premises, the rules for off-premises contracts apply (article 92.2). The law presumes that every contract signed off-premises is subject to them, and it is up to the business to prove otherwise (article 92.4).

In that case the owner may withdraw within fourteen calendar days without giving reasons or paying anything (article 102); for service contracts the period runs from the day of signature (article 104.a). If the agency fails to inform the owner of this right, the period is extended by twelve months (article 105). If the owner wants the agency to start work straight away, they must request it on a durable medium (article 99.3) and, if they later withdraw, they pay only the proportionate part of the service provided (article 108.4). They can use the model form in Annex B of the Act or any other unequivocal statement (article 106). The exclusion in article 93.e refers to contracts for the acquisition or transfer of real estate, not to the brokerage service; to be safe, inform of the right of withdrawal whenever you sign off-premises with a private owner. The template above adds the clause and the form when you select that option.

Data protection in the agreement

When collecting the owner's data, the agency must inform them at that moment of who the controller is and how to contact them, the purposes and legal basis, recipients, retention period, their rights and their right to complain to the supervisory authority (article 13 of the General Data Protection Regulation). The usual legal basis is performance of the contract (article 6.1(b)). If you also want to send other offers, ask for separate consent.

If your agency operates in Catalonia

To operate as an estate agent with premises in Catalonia you must register with the Catalan Estate Agents Register, which is public, administrative and mandatory, is managed by the Catalan Housing Agency and is governed by Decree 12/2010 of 2 February (official procedure page). The register issues a badge with a unique number that must appear on the agency's plaque, stationery and advertising, and that number is one of the mandatory items of the listing agreement. The law also requires premises open to the public (or a physical address when operating remotely), professional qualifications, a guarantee for amounts received and liability insurance (article 55.3), and requires agents to check ownership and registered charges before signing any document with third parties (article 55.7). Failure to register does not affect the validity of contracts (article 56.4).

FAQ

Questions about listing agreements

What is a listing agreement?

It is the contract by which an owner instructs an agency to find a buyer or tenant for their property. It records the asking price, fees, term, whether it is exclusive and each party's obligations.

Is a listing agreement mandatory?

In Catalonia, yes: Act 18/2007 requires agents to sign it before offering a home and prohibits advertising third-party properties without it. Elsewhere in Spain there is no official template, but you should always sign one: without a written agreement it is hard to prove what was agreed and claim your fees.

How long does an exclusive agreement last?

Whatever the parties agree: the law sets no term. A specific term is advisable and, if it renews automatically, the owner should be able to stop it with reasonable notice.

Can I cancel a listing agreement I have signed?

It depends on what was signed. If the owner is a private individual and signed it off the agency's premises, they can withdraw within fourteen calendar days at no cost (article 102 of Royal Legislative Decree 1/2007). Otherwise, the term and termination clauses of the agreement apply; if in doubt, consult a lawyer.

Who pays the agency fees on a rental?

In residential lettings, the landlord: property management and contract formalisation costs cannot be passed on to the tenant (article 20.2 of the Urban Leases Act).

Can the agency charge both buyer and seller?

In Catalonia, only with express agreement to that effect (article 55.6.i of Act 18/2007). Elsewhere in Spain it depends on what was agreed; the prudent approach is to inform the owner and put it in writing in the listing agreement, as this template does.
